In short. We quote a fixed price in writing before any work starts. You pay by card through Stripe or by bank transfer. Once you have paid in full, the work we created for you is yours. Subscriptions can be cancelled at any time and end with the period already paid. You can always read, print and export your own data. Refunds follow our Refund & cancellation policy.
1. Who we are
"Ulamna", "we" and "us" mean Ulamna, the company that publishes this website and provides the services and software described on it. You can reach us at contact@ulamna.com. "You" means the person or organisation that uses our website, orders our services or subscribes to our software.
2. Scope
These terms apply to:
- the website ulamna.com;
- our services: discovery studies, software development in milestones, and monthly maintenance ("Care");
- our software licences and subscriptions.
When we sign a written proposal or contract with you, it forms the agreement together with these terms. If they disagree, the signed proposal or contract prevails.
3. Quotes and orders
Every engagement starts with a written quote that states the scope, the deliverables, the schedule, the price, the currency and the applicable taxes. A quote is valid for 30 days unless it says otherwise. An order is confirmed when you accept the quote in writing (a signature or an email is enough) and, where the quote asks for one, when the deposit is paid.
Work outside the accepted scope is quoted separately and only starts once you accept the new quote.
4. Prices and payment
- Prices are those of the accepted quote or, for subscriptions, those shown to you when you subscribe. They are stated with their currency and whether taxes are included.
- Invoices are payable online by card through our payment provider Stripe, or by bank transfer to the account shown on the invoice. Card details are entered on Stripe's secure pages and are never received or stored by us.
- Unless the invoice says otherwise, invoices are due within 15 days of their date. Subscriptions are billed in advance at the start of each period.
- If an invoice remains unpaid 15 days after its due date, and after a written reminder, we may pause the work or the paid features of a subscription until it is paid. We never delete your data because of a late payment, and you can always read and export it.
5. Delivery and acceptance
Everything we deliver is digital: source code, installers, documentation, access to online services, or licence keys. Nothing physical is shipped. Delivery happens by access to a code repository, a download link, an app store, or the activation of a service, as stated in the quote.
For each milestone, you have 10 business days after delivery to test it and tell us in writing of any way it does not match the agreed scope. We then correct it at no extra cost. A milestone is accepted when you say so, or when 10 business days pass without such a report, or when you start using it in production.
6. Subscriptions
Care plans and software licences are subscriptions billed monthly or yearly, in advance. They renew automatically for the same period until cancelled.
- Software licences can be cancelled at any time from your account or by email; the cancellation takes effect at the end of the period already paid.
- Care plans can be cancelled with 30 days' notice by email.
- We will tell you of any price change at least 30 days before it applies, and you may cancel before it does.
7. Your responsibilities
- Give us the information, access and decisions the work needs, in time.
- Make sure that the material you give us (texts, images, data) is yours to give, and that any personal data in it is handled lawfully.
- Use our software lawfully, and do not attempt to break its security, resell it without our agreement, or use it to harm others.
- Keep your devices, passwords and recovery kits safe. With end-to-end encryption, we cannot recover data whose keys are lost; this is why our software gives you a recovery kit.
8. Intellectual property
Once the related invoices are paid in full, you own the work we created specifically for you under the quote (its source code, designs and documentation), and you may use, change and distribute it as you wish.
We keep ownership of what existed before the engagement or was built independently of it: our foundation (Ulamna), our tools, libraries and know-how. Where such components are part of what we deliver, we give you a perpetual, worldwide, non-exclusive, royalty-free licence to use them as part of that delivery. Open-source components remain under their own licences, which we list in the delivery.
Unless you tell us otherwise, we may mention you as a client. We never show your data or confidential work.
9. Software licences
Our products are licensed, not sold. A subscription gives you a non-exclusive, non-transferable right to use the software for the number of practices, users or devices stated in your plan, for as long as the subscription is active.
Whatever happens to your subscription, some rights are never removed: you can always open, read, print and export your own data, and recover it with your recovery kit. When a subscription ends, the software stays usable for these purposes.
10. Confidentiality
Each of us keeps confidential the information the other shares in the course of the engagement and that is not public, and uses it only for the engagement. This duty lasts five years after the end of the engagement, and without limit for personal data and trade secrets.
11. Data protection
How we handle personal data is explained in our Privacy Policy. When we handle personal data on your behalf as part of a project, we act on your documented instructions and sign a data processing agreement with you on request. Data in our end-to-end encrypted products is encrypted on your devices: we hold only sealed copies we cannot read.
12. Warranty
We perform our services with care and to the standards of the profession. For 30 days after a milestone is accepted, we fix at no cost any defect that makes it differ from the agreed scope. This does not cover changes made by others, misuse, or third-party services outside our control. Beyond what these terms and the law provide, the software is supplied as is.
13. Liability
To the extent the law allows, our total liability under an engagement or subscription is limited to the amounts you paid us for it during the 12 months before the event that caused the damage, and we are not liable for indirect losses such as lost profits, lost business or loss of opportunity. Nothing in these terms limits liability for fraud, gross negligence, wilful misconduct, death or personal injury, or any liability that cannot be limited by law.
14. Termination
Either of us may end an engagement by written notice if the other seriously breaches these terms and does not remedy it within 30 days of being asked to. If an engagement ends early, you pay for the work done up to that date and receive it; any amount paid for work not done is refunded as described in our Refund & cancellation policy.
15. Force majeure
Neither of us is liable for a delay or failure caused by events beyond reasonable control, such as natural disasters, wars, epidemics, or large-scale failures of networks or energy supply. The affected party informs the other quickly and resumes as soon as possible.
16. Changes to these terms
We may update these terms. The version that applies to an engagement is the one in force when you accepted the quote. For subscriptions, we will tell you of material changes at least 30 days in advance; if you disagree, you may cancel before they apply.
17. Governing law and disputes
These terms are governed by the laws of the place where Ulamna is registered. We will first try to settle any disagreement amicably; write to us and we will answer within 10 business days. Failing that, the competent courts of that place have jurisdiction. If you are a consumer, you keep the protection of the mandatory rules of the country where you live and may also go to its courts.
